[Title] => The Bulk Sales Law does not apply to all bulk sales
[Summary] => Whenever one sells all or substantially all of his assets, both the lawyer of the buyer and of the seller often require the seller to comply with the requirements of the Bulk Sales Law (the Law) before the sale actually takes place. The Law requires certain inconvenient formalities to be complied with before a sale of transfer in bulk of items specified in the Law may take place, other than in the ordinary course of business.

[Summary] => The entry of French retailer Casino Guichard-Perrachon into the Uniwide group may take longer than expected.

This possibility loomed after the Securities and Exchange Commission (SEC) turned down the request of Uniwide’s receivers to "borrow" P80 million in escrow fund from the proceeds of the sale of the assets of First Paragon Corp. (FPC), a Uniwide subsidiary, to pay for the parent company’s back taxes.

The Philippine Bank of Communications (PBCom), one of the creditors of cash-challenged Uniwide Group of Companies, is opposing the sale of First Paragon Corp. (FPC) for P145 million to I Mart International Corp. (I Mart).

FPC, one of the subsidiaries of Uniwide, is set to close the sale on Feb. 7 coinciding with the expiration of the third 60-day debt relief given to the retail and property group.

In its comments submitted to the SEC, PBCom said the sale is not valid because the bank's approval was never sought and its conditions, ignored.
