SEC revokes registration of F2M Agri-Farm

MANILA, Philippines — The Securities and Exchange Commission (SEC) has revoked the corporate registration of a group found engaging in an illegal investment solicitation scheme.

The SEC issued an order revoking the certificate of incorporation and the registration of F2M Agri-Farm OPC as a corporation.

The regulator also imposed a P1-million fine against F2M for offering securities to the public without prior registration and license from the SEC.

As early as April 2024, the SEC issued an advisory against F2M and its related entities, warning the public to exercise caution against dealing with representatives from the group as they are unauthorized to do so.

In August, the SEC issued a cease and desist order against F2M and its related entities for soliciting investments from the public without the necessary approvals from the commission.

In its cease and desist order, the commission stated that the unauthorized investment-taking activities of F2M OPC, F2M entities and their cohorts operate as a fraud on investors and are likely to cause grave or irreparable injury or prejudice to the investing public if not restrained.

The F2M entities were found to be offering securities through the F2M 3 Months Paalaga System, where investors were invited to buy a piglet for P5,000 in exchange for a guaranteed return of P2,600 for every piglet bought after three months.

An investor who pays P100,000 for 20 piglets, for example, will receive a return of 52 percent of the amount invested or P52,000 within three months.
