MANILA, Philippines — “Mergers and acquisitions are more than just business transactions,” Roxanne Mercado, a Filipino lawyer in the United States, begins. “It provides opportunities to democratize access to capital, allowing smaller businesses to innovate and compete on a larger scale.”

This statement is probably Mercado’s guiding principle, the north star that keeps her on the path of advocating economic security in the US. The corporate lawyer also works to create opportunities for business innovation and expansion – an advocacy that can positively impact families, communities, and the US economy.

“When done right, M&A can attract more investments, create jobs, and stimulate local economies,” Mercado continues. “It is about making a tangible difference in people’s lives.”

Sterling record

Mercado is a graduate of the Ateneo de Manila University, one of the country’s top universities. She went on to attend and graduate from Columbia Law School, becoming a dual-qualified corporate lawyer in both the Philippines and the US. She is currently a senior associate at a distinguished law firm in New York.

Beginning her legal career at SyCip Salazar Hernandez & Gatmaitan, one of the largest law firms in the Philippines, she honed her expertise as a corporate associate, working on high-impact, high-value transactions.

A stint as adjunct professor of banking law at San Sebastian Recoletos Law School also provided her with an expertise in corporate law.

She also rendered public service at the Office of the Solicitor General, handling precedent-setting cases in antitrust enforcement and arbitration.

Mercado then moved to the US and earned a Master of Laws at Columbia Law School. She received the Harlan Fiske Stone Scholarship for her outstanding academic performance. During this time, she also consulted with the government of Peru on its lithium mining policy.

After earning her LL.M, Mercado joined a law firm in New York where she quickly rose from associate to senior associate. She focused on private mergers and acquisitions, venture capital and real estate private equity.

Mercado’s experience extends to venture capital and real estate private equity fund sponsors, where she provides critical guidance on fund formation and securities law compliance.

Mercado believes that equitable access to capital is essential for fostering innovation and competition in the business landscape. “When smaller enterprises have access to the same financial resources as larger corporations, it levels the playing field,” she explains.

“This not only drives innovation but also creates more diverse and resilient economic ecosystems,” she adds.

Her belief in the importance of providing access to capital is reflected in her dedication to structuring deals that are beneficial to all parties involved.

Making ripples

Mercado exemplifies unwavering commitment to making a difference in the legal landscape. One can only imagine that this journey is not paved on a smooth, bump-free road.

Her resilience and excellence in the face of challenges are backed by hard work, skill and genuine compassion. Her story is an inspiration to current Law students, recent graduates and young lawyers.

For young lawyers looking to follow in her footsteps, Mercado offers this advice: “Stay curious, stay committed, and never underestimate the power of perseverance. The legal profession is challenging, but the difference we can make is profound.”
